Case studies 

 

• Engaged by a SEC quoted company to prepare a comprehensive financial due diligence report on the financial affairs of a target company based in Brazil. Over the course of one month, we completed an in-depth review of the prior three years’ financial results together with a detailed review of the latest balance sheet.

• We also undertook an assessment of the likelihood of achieving the next year’s forecast.  A detailed report was prepared upon which the credibility of the presented financial status of the target company was assessed.  The target company was a digital advertising business with revenue of R$35 million (US$8 million).  The acquisition was successfully completed.

 

• Completed the financial due diligence prior to the acquisition of a Paris based advertising agency.  Developed a report that allowed for significant adjustments to the proposed purchase price, based upon poor financial records not disclosing the real situation of prior performance.

 

• Oversaw the investigation into a San Diego based digital marketing and experiential business resulting in a smooth transition from Target to Acquired and then helped target management integrate into the new environment, supporting them through the earn-out to maximize the profits and, therefore, the selling price.
